1. Introduction
Kasuwa 365 is an online marketplace and services platform that helps users discover, list, and connect across goods (Marketplace), professional services and contractors (Services), real estate (Real Estate), and vehicle rentals (Vehicle Rentals). These Terms form a binding agreement between you and Kasuwa Digital Limited.
2. Acceptance of Terms
By creating an account, accessing the Platform, or using any feature, you confirm that you have read and agree to these Terms and any policies incorporated by reference (including our Privacy Policy, Prohibited Items Policy, and Verification Policy). If you do not agree, you must not use the Platform.
3. Our Role — Platform Provider
Kasuwa provides technology, tools, and infrastructure to facilitate connections between users. Unless we expressly state otherwise in writing for a specific product:
- We are not the seller, buyer, landlord, tenant, contractor, vehicle owner, or rental counterparty in your transactions.
- We are not a bank, escrow agent, or payment intermediary; payments may be processed by independent payment partners subject to their terms.
- We do not guarantee the quality, safety, legality, or performance of listings, services, properties, or vehicles — users contract directly with each other or with listed businesses.
Listings and profiles are created by users; Kasuwa does not pre-approve every listing and is not responsible for user-generated content except as required by law.
4. Eligibility
You must be at least 18 years old and capable of entering a binding contract under Nigerian law. You must provide accurate registration information and keep your account secure. You are responsible for all activity under your account.
5. Accounts & Security
You may not share account credentials or create multiple accounts to evade enforcement. Notify us promptly of unauthorised access. We may suspend or close accounts that violate these Terms or pose risk to users or the Platform.
6. Marketplace, Services, Real Estate & Vehicle Rentals
Each surface has listing, messaging, and (where applicable) booking or checkout flows. Additional rules may apply to specific categories (e.g. property viewings, service quotes, rental handover). You must comply with applicable laws — including consumer protection, tenancy, agency, and transport rules — when using each surface.
7. Listings, Content & Accuracy
You are solely responsible for your listings, descriptions, images, pricing, and communications. You represent that your content is truthful, lawful, and does not infringe third-party rights. We may remove or restrict content that breaches these Terms, our Prohibited Items Policy, or applicable law.
8. Verification & Badges
Where we offer verification or badges, they reflect information or checks at a point in time and do not constitute an endorsement, guarantee of performance, or insurance. See our Verification Policy for scope and limits. We may revoke verification where information is false or misleading.
9. Fees, Subscriptions & Payments
Certain features may be subject to fees or subscriptions as disclosed at checkout or in your account. You authorise us and our payment partners to charge applicable amounts. Taxes may apply as required by law. Refund rules depend on the nature of the product and what is stated at the point of payment — where a third-party processor or seller policy applies, that will be communicated as clearly as practicable before you pay.
10. Prohibited Conduct
You must not use the Platform to defraud others, circumvent fees, harass users, scrape data without permission, distribute malware, or engage in illegal activity. Prohibited goods and practices are described in our Prohibited Items Policy. We may investigate and cooperate with authorities where appropriate.
11. Reviews & Intellectual Property
Reviews must be honest and based on genuine experience. You grant Kasuwa a licence to host and display content you submit, as needed to operate the Platform. The Kasuwa name, logo, and software are protected; you may not copy or misuse our brand without permission.
12. Disclaimers & Limitation of Liability
To the fullest extent permitted by applicable law, the Platform is provided "as is" and "as available" without warranties of any kind except where mandatory consumer rights apply. We are not liable for indirect, incidental, or consequential losses, or for loss of profits, data, or goodwill, except where such exclusion is prohibited. Our aggregate liability arising out of these Terms is limited to the greater of (a) amounts you paid to Kasuwa in fees for the twelve months before the claim, or (b) where no fees were paid, a reasonable capped amount — subject always to mandatory Nigerian consumer-protection rules where they apply.
13. Indemnity
You agree to indemnify and hold harmless Kasuwa Digital Limited and its affiliates from claims, damages, and costs (including reasonable legal fees) arising from your use of the Platform, your listings, your breach of these Terms, or your violation of third-party rights.
14. Complaints & Dispute Resolution
We aim to provide clear terms, pre-payment disclosures where relevant, and an accessible way to raise concerns — consistent with fair e-commerce practice. For complaints, contact support@kasuwa365.com with sufficient detail. We will acknowledge and work through issues in line with our internal processes. Nothing in these Terms limits non-waivable rights under Nigerian law. You may also escalate to relevant regulators (including sector regulators where applicable) where the law allows.
15. Suspension & Termination
We may suspend or terminate access for breach of these Terms, legal risk, or operational reasons. You may close your account subject to completion of outstanding obligations. Provisions that by nature should survive (e.g. liability limits, indemnity, governing law) will survive termination.
16. Changes to These Terms
We may update these Terms from time to time. We will post the revised version on the Platform and update the "Last updated" date. Continued use after changes constitutes acceptance where permitted by law; where consent is required, we will seek it as appropriate.
17. Governing Law & Jurisdiction
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law rules. Subject to mandatory provisions, courts in Nigeria shall have jurisdiction over disputes arising from these Terms or the Platform.
18. Data Protection
We process personal data in line with the Nigeria Data Protection Act 2023 and our Privacy Policy. For context on Nigeria’s data protection framework, see the Nigeria Data Protection Commission. By using the Platform, you acknowledge that you have reviewed how we collect and use personal data.
